1. Definitions

REZICS means the person or entity operating the REZICS service.

Service means the websites, applications, storage, delivery systems, and related infrastructure operated for REZICS.

Initial Licensor means the person or entity that first grants this license for the Unit through an authorized REZICS Profile.

Contributor means a person or entity that, after the Service gives notice that this license applies to the Unit, submits, uploads, creates, designates, adds, or revises content through an authorized REZICS Profile as part of the Unit or a Content-Bearing Structure.

Contribution means the content that a Contributor submits, uploads, creates, designates, adds, or revises in that capacity.

Licensor means the Initial Licensor or a Contributor. Each Licensor grants rights only in content for which that Licensor has authority to grant this license.

Unit means the specific REZICS Unit identified when the Initial Licensor first grants this license.

Unit Controller means the REZICS Profile currently authorized through the Service to manage the Unit’s availability, access, and offering settings. Unit control is an administrative role within the Service and is not a determination of copyright ownership.

Monetization Terms means the separate terms governing paid offerings that the Unit Controller affirmatively accepts through the Service.

Content Structure means a Service resource associated with a Unit that records the selection, grouping, hierarchy, or ordering of other content Units.

Content-Bearing Structure means a Content Structure that the Service expressly presents as the Unit’s hosted contents, including its chapters, episodes, tracks, or other component works. It does not include a structure used only for navigation, taxonomy, discovery, or external references.

Licensed Content means:

  1. all text, images, audio, audiovisual material, files, titles, descriptions, captions, cover material, metadata, and other content that the Licensor, acting through an authorized REZICS Profile, submits, uploads, creates, or designates for REZICS to host as part of the Unit;
  2. the authored selection, arrangement, labels, and other material comprised in a Content-Bearing Structure; and
  3. the complete hosted content of every Post, Video, Audio, or other content Unit that the Licensor, acting through an authorized REZICS Profile, adds to a Content-Bearing Structure as part of the Unit, whether before or after this license is granted, including its revisions and replacement versions.

Content described in item 3 is Licensed Content even when the Service stores it as a separate Unit, and no separate license grant is required for that content Unit.

The Initial Licensor grants this license once at the Unit level. Each later Contributor grants the same license for that Contributor’s Contribution by making the Contribution after receiving notice that this license applies to the Unit. No separate Unit-level selection or grant is required for a Contribution or when the Unit Controller changes.

Licensed Content does not include material that the Unit merely identifies, describes, links to, quotes under an applicable exception or limitation, or references without hosting. The inclusion of a content Unit in Licensed Content does not constitute a determination or verification by REZICS that the Licensor owns that content or has authority to license it.

2. Ownership

The Licensor retains all ownership and other rights in the Licensed Content. This license does not transfer ownership to REZICS.

Changing the Unit Controller does not transfer copyright in the Licensed Content, make the new Unit Controller a Licensor of content that it did not license, or constitute evidence that the new Unit Controller owns that content. A change in Unit control, or a transfer of ownership of any right in the Licensed Content, does not by itself terminate or narrow rights already granted to REZICS under this license, subject to any non-waivable applicable law.

3. License Grant

The Initial Licensor, when first granting this license for the Unit, and each Contributor, when making a Contribution after receiving notice that this license applies to the Unit, grants REZICS a non-exclusive, worldwide license, for the term described in Section 9, to:

  1. host, store, archive, cache, back up, reproduce, transmit, and distribute the Licensed Content;
  2. make the Licensed Content available, stream it, display it, and perform it through the Service in accordance with the Unit’s visibility, access, and offering settings, including through free, paid, subscription, or transactional offerings that the Unit Controller affirmatively enables;
  3. permit authorized users to access, stream, download, or use the Licensed Content only through functionality enabled by the Service and subject to applicable end-user terms;
  4. index, parse, and analyze the Licensed Content as necessary to provide search, discovery, recommendations, accessibility, safety, moderation, integrity, and other Service functionality;
  5. encode, transcode, compress, resize, reformat, paginate, and make other technical modifications necessary to store, secure, deliver, or present the Licensed Content through the Service; and
  6. create and display thumbnails, previews, snippets, and similar representations for discovery of the Unit within the Service or for directly promoting the availability of the Unit on the Service.

REZICS may exercise these rights through its affiliates, contractors, and infrastructure providers, and may sublicense these rights to them only to the extent necessary to operate, secure, maintain, or provide the Service. REZICS may also grant authorized users a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Licensed Content only through enabled Service functionality and subject to applicable end-user terms. REZICS remains responsible for exercising the license within its stated scope.

No separate license fee or royalty is payable solely for this license. This does not limit any revenue share, payout, fee, or other amount expressly payable under applicable Monetization Terms.

4. Paid Offerings

This license does not itself activate monetization or authorize REZICS to place the Licensed Content in a paid offering without the Unit Controller’s affirmative instruction.

Before enabling a paid offering, the Unit Controller must accept the then-current Monetization Terms and represent that it has authority to enable the offering. Those terms govern pricing authority, payment processing, platform fees, revenue share, taxes, refunds, chargebacks, payouts, user access rights, and the consequences of removal or termination. They do not require a second license grant for Licensed Content already covered by this license.

5. Limits of the Grant

This license permits only uses connected to providing, operating, securing, maintaining, directly promoting, or facilitating an offering of the Unit through the Service.

It does not permit REZICS to:

  1. sell, license, or otherwise exploit the Licensed Content outside the Service or outside an offering affirmatively enabled by the Unit Controller;
  2. license the Licensed Content to third parties for purposes unrelated to the Service;
  3. use the Licensed Content to train a general-purpose artificial intelligence or machine learning model; or
  4. make editorial adaptations that materially change the meaning of the Licensed Content, except with the Licensor’s separate permission.

Technical modifications under Section 3 do not constitute editorial adaptations.

6. Authority to Grant the License

When the Initial Licensor first grants this license, and each time a Licensor acting through an authorized REZICS Profile submits, uploads, creates, designates, adds, or revises content in the Unit or a Content-Bearing Structure, that Licensor represents and warrants that:

  1. the Licensor owns that content or otherwise has sufficient authority to grant this license for it;
  2. granting this license does not violate any agreement or obligation binding on the Licensor;
  3. REZICS may exercise the granted rights without obtaining additional permission from, or making payment to, any third party; and
  4. the submission, inclusion, hosting, and authorized distribution of that content through the Service do not violate another person’s copyright, related rights, contractual rights, privacy rights, publicity rights, or other applicable rights.

This section does not require the Licensor to own material used under a valid exception or limitation to copyright, but the Licensor remains responsible for identifying and complying with the applicable basis for that use.

REZICS may rely on these representations and does not, by accepting or recording a license grant, verify ownership of or authority over the Licensed Content. This does not limit any obligation REZICS may have under applicable law or its ability to respond to claims, notices, legal process, or violations of the rules governing the Service.

7. Attribution and Moral Rights

Where the Service supports attribution, REZICS will preserve the attribution information associated with the Licensed Content and the Unit. The Licensor consents to the technical modifications permitted by Section 3. No moral right is waived except to the minimum extent necessary for REZICS to make those permitted technical modifications.

8. Relationship to Public Licenses

This license is granted to REZICS for operation of the Service. It does not, by itself, grant the public any right to reuse the Licensed Content.

Any public license or rights-reservation status separately selected for the Unit remains independent of this license. If another license already grants REZICS all rights required here, this license does not restrict those existing rights.

9. Term and Cessation of Active Use

This license begins for content covered by the Initial Licensor’s grant when the Initial Licensor affirmatively grants it for the Unit. It begins for each Contribution when the Contributor makes that Contribution after receiving notice that this license applies to the Unit.

To the maximum extent permitted by applicable law, and subject to any non-waivable statutory termination or similar right, each grant under this license is irrevocable and continues for the duration of the applicable rights in the Licensed Content. A Licensor cannot revoke a grant by changing Unit settings, ceasing to control the Unit, transferring rights in the Licensed Content, closing a Profile, removing content, or ceasing to use the Service.

A Licensor may stop making future Contributions. The Unit Controller may request that REZICS unpublish or remove the Unit, stop new paid offerings, or otherwise cease active availability in accordance with the Service’s rules and applicable Monetization Terms. Such action does not revoke this license or make past authorized uses unauthorized.

After the Licensed Content is permanently removed from active availability, REZICS will stop making it newly available and stop enabling new paid access under this license within a commercially reasonable period. REZICS may continue exercising the licensed rights only as reasonably necessary to fulfill access or download rights granted to authorized users before removal, for the duration of those rights, unless the rights are ended and any required refund or other remedy is provided under the applicable Monetization Terms and law.

REZICS may also retain copies:

  1. in backups and caches until they are overwritten in the ordinary course of operation;
  2. as required by law or a binding legal process; or
  3. as reasonably necessary for security, fraud prevention, dispute resolution, or enforcement of applicable terms.

Any retained copy remains subject to this license’s use limitations and may not be restored to public availability except as necessary to fulfill the pre-removal user rights described above or where REZICS has another lawful basis to do so.

10. No Hosting Obligation

This license permits REZICS to host the Licensed Content but does not require REZICS to accept, retain, publish, or continue providing it. REZICS may restrict or remove Licensed Content in accordance with applicable law and the rules governing the Service.

11. Version

The reference license slug identifies this exact version of the license. REZICS will not change the legal text identified by rezics-unit-content-license-v1. A materially changed license must use a new reference license slug. A new version does not amend this license or apply retroactively to the Unit or Licensed Content. Applying materially different terms to existing Licensed Content requires the affirmative agreement of each Licensor whose granted rights would be affected, or of a person or entity with authority to act for that Licensor.
